1. Agreement and eligibility
By creating an account, accepting these Terms electronically, or accessing InvoZim, you agree to this binding agreement. You must be at least 18 years old, able to enter a contract, and authorised to act for any business you register. If you do not agree, do not use the service.
2. The service
InvoZim provides hosted tools for invoicing, quotations, receipts, payments, expenses, customer and vendor records, subscriptions, products, orders, reports, support, and messaging. Features depend on your package and may change as the platform develops. Beta or preview features are provided as available and may be changed or withdrawn.
3. Accounts and authorised users
You must provide accurate information, protect credentials and devices, assign appropriate roles, and promptly report suspected unauthorised access. The account holder is responsible for activity performed by its users and for removing access when it is no longer required.
4. Limited right to use InvoZim
While your account is active and fees are paid, InvoZim grants you a limited, non-exclusive, non-transferable right to use the service for your lawful internal business operations. You may not resell, copy, reverse engineer, disrupt, scrape, bypass access controls, or use the service to build a competing product except where applicable law expressly permits it.
5. Your business records and responsibilities
You retain ownership of the business data and content you submit. You grant InvoZim the rights needed to host, process, back up, display, transmit, and generate documents from that data to provide the service. You are responsible for accuracy, lawful collection, tax treatment, record retention, customer notices, and obtaining all permissions required for data you enter or messages you send.
6. Invoices, payments and professional advice
InvoZim is a record-keeping and workflow platform. It is not a bank, accounting firm, tax adviser, lawyer, auditor, or financial adviser. Documents, reports, calculations, fiscalisation integrations, payment statuses, and templates must be reviewed by you. Consult qualified professionals before relying on the service for legal, tax, accounting, or financial decisions.
7. Subscriptions, billing and trials
Paid plans are billed for the selected period and may renew until cancelled. Prices, taxes, package limits, and included features are shown when you subscribe or upgrade. Trials and promotional access may expire or convert according to the offer presented. Except where law requires otherwise or a written refund policy applies, fees for an elapsed billing period are non-refundable.
8. Third-party and payment services
Email, WhatsApp, SMS, payment gateways, banks, fiscal devices, and other integrations are supplied by third parties under their own terms. InvoZim does not control their availability, approval decisions, fees, reversals, settlement times, or security. You authorise necessary information to be sent to a provider when you enable or use an integration.
9. Acceptable use
You may not use InvoZim for unlawful, fraudulent, deceptive, abusive, sanctioned, or rights-infringing activity; false or unsolicited billing; phishing; impersonation; malware; credential theft; prohibited goods or services; unauthorised bulk messaging; or attempts to impair the platform. We may investigate, restrict, suspend, or report activity reasonably believed to create legal, security, or fraud risk.
10. Availability, backups and changes
We aim to provide a reliable service but do not guarantee uninterrupted or error-free operation. Maintenance, provider outages, internet failures, emergencies, or security work may affect availability. You should keep exports or backups required for your business. We may modify features, storage, limits, or technical requirements and will give reasonable notice of material changes where practicable.
11. Intellectual property
InvoZim and its software, branding, designs, documentation, and platform content remain the property of their respective owners. These Terms do not transfer ownership. Feedback may be used to improve the service without restriction or compensation, provided it does not identify your confidential business data.
12. Suspension and termination
You may stop using the service and request account closure subject to outstanding fees and legal retention requirements. We may suspend or terminate access for non-payment, material breach, fraud, security risk, unlawful use, or where continued service would expose InvoZim or others to harm. On termination, access may end and data will be handled according to the Privacy Policy and applicable retention obligations.
13. Disclaimers and limitation of liability
To the maximum extent permitted by law, the service is provided “as is” and “as available” without implied warranties. InvoZim is not liable for indirect, incidental, special, punitive, or consequential loss, lost profits, lost opportunities, or loss caused by third-party services. Where liability cannot be excluded, total liability relating to the service is limited to fees paid for the affected service during the three months before the event, unless applicable law requires a different remedy.
14. Indemnity
You agree to defend and indemnify InvoZim against third-party claims and reasonable costs arising from your unlawful use, your business transactions, your content, your breach of these Terms, or your infringement of another person’s rights, except to the extent caused by InvoZim’s own unlawful conduct.
15. Governing law and disputes
These Terms are governed by the laws of Zimbabwe, without regard to conflict-of-law rules. The parties will first attempt in good faith to resolve disputes through written notice and discussion. If unresolved, disputes may be brought before courts with competent jurisdiction in Zimbabwe, subject to any mandatory consumer rights that apply.
16. Changes, notices and contact
We may update these Terms to reflect service, legal, security, or commercial changes. Material updates will be communicated through the platform, email, or another reasonable channel. Continued use after the effective date means you accept the revised Terms. If you do not agree, you must stop using the service.
